Terms of Service

1. NATURE OF SERVICE & INTERMEDIARY STATUS

1.1 peppy as Aggregator Platform

peppy is a technology platform and digital intermediary. We are NOT:

• A seller of products or provider of services
• A party to transactions between users and Merchants
• Responsible for the quality, safety, legality, or delivery of goods/services
• An employer or partner of any Merchant

Our sole role is to facilitate a connection between consumers and independent Merchants/Service Providers.

1.2 Merchant Independence

• Each Merchant on the Platform is an independent, third-party entity operating their own business
• No employment, partnership, or agency relationship exists between peppy and any Merchant
• Merchants are responsible for all aspects of their business:
  • Product/service quality and compliance
  • Customer service and fulfillment
  • Warranty, returns, and refunds
  • Tax and regulatory compliance
  • Insurance and liability

1.3 User-Merchant Contract

When you place an order:

• Your contract for the sale/service is directly with the Merchant, not peppy
• peppy acts only as a conduit to facilitate the transaction
• Terms of the transaction (price, delivery, warranty) are governed by the Merchant's terms, not these Terms of Service
• Disputes over product quality, delivery, or service must be resolved with the Merchant only.

2. ELIGIBILITY & ACCOUNT REGISTRATION

2.1 Eligibility

• You must be at least 18 years old to use the Platform
• You must have the legal authority to enter into binding contracts
• You may not use the Platform if prohibited by law in your jurisdiction

2.2 Account Registration

• You are responsible for all information provided during registration
• You are responsible for maintaining the confidentiality of your password and login credentials
• You are liable for all activity under your account, whether authorized by you or not
• You must promptly notify contact@peppy.ae of any unauthorized access

2.3 Account Termination

peppy may terminate or suspend your account at any time, without liability, if you:

• Violate these Terms
• Engage in fraudulent, illegal, or abusive activity
• Fail to pay due amounts
• Breach the Platform's usage policies
• Request deletion/closure yourself
• Violate ONDC network policies (if applicable)

Upon termination, your access will be immediately revoked, but we may retain your data per the Privacy Policy

3. ORDERS, PRICING & PAYMENTS

3.1 Order Placement

You may browse and select products via the Platform however, the Order will be placed directly through the Merchant. peppy is only an intermediary and acts only as a conduit to facilitate the transaction by providing product options.

Offering Terms: Product listings, prices, and availability are invitations to transact (not binding offers) and are subject to user confirmation from the Merchant Website directly. Neither does peppy guarantee the product nor its description (visual or written), listing details, price or any other product details. The user is encouraged and advised to confirm all details and information from the Merchant's website before placing any order.

Order Confirmation: Your order is confirmed only when the Merchant accepts and you receive an order confirmation

peppy does not guarantee product availability or pricing accuracy.

3.2 Pricing & Availability

• Prices, inventory, and service features may vary by location and time
• peppy is not responsible if a Merchant cancels or modifies an order due to pricing errors, inventory issues, or other Merchant-initiated reasons
• Price Matching: peppy does not guarantee the lowest price on any product

3.3 Payment Processing

• Payments are processed via third-party payment gateways (e.g., Stripe, Razorpay)
• peppy does NOT store your full card details, UPI credentials, or bank login information
• Payment processing is subject to the payment provider's terms and security standards
• Payment Failure: If a transaction fails, you will be notified; your card will NOT be charged
• Multiple Charges: In rare cases of system errors, contact support@peppy.ae for immediate reversal

3.4 Refunds & Returns

• Refund policies are set by individual Merchants, not peppy
• Refund eligibility, timelines, and conditions depend on the Merchant's policy
• Disputes over refunds must be escalated directly to the Merchant via their respective website.
• peppy is not liable for Merchant non-compliance

3.5 Taxes & Duties

• You are responsible for paying all applicable taxes, duties, and levies on purchases
• peppy will calculate and display estimated taxes at checkout; final amounts may vary
• For cross-border deliveries, you may be subject to import duties (Merchant's responsibility to disclose)

4. INTELLECTUAL PROPERTY RIGHTS

4.1 peppy's IP

All intellectual property on the Platform belongs to peppy or its licensors:

• Software code, algorithms, databases
• Logos, trademarks, brand names
• Design, layout, graphics, photographs
• Content, text, and documentation

You may not:

• Copy, modify, or reverse-engineer any code
• Scrape or systematically download content
• Use peppy's marks or branding without permission
• Create derivative works based on the Platform

Violations will result in account termination and legal action.

4.2 Your Content License

By posting, uploading, or submitting content to the Platform ("User Content"), including reviews, photos, videos, ratings, or feedback, you grant peppy an irrevocable, perpetual, worldwide, royalty-free, transferable license to:

• Use, display, reproduce, modify, and distribute your User Content
• Sublicense your User Content to third parties
• Create derivative works based on your content
• Use your content for marketing, training, and promotional purposes
• Use your content in AI models and machine learning algorithms (including generative AI)

You represent and warrant that:

• You own or control all rights to the User Content
• The content does not infringe third-party rights
• The content is accurate and lawful
• You grant permission for public display and use

peppy waives no liability for your use of User Content and may remove or hide content that violates these Terms.

5. PROHIBITED CONDUCT

You agree not to use the Platform to:

5.1 Illegal Activities

• Commit fraud, money laundering, or unlawful transactions
• Traffic in counterfeit, stolen, or prohibited goods
• Facilitate gambling, drug sales, or weapons trafficking
• Violate any law, regulation, or ordinance
• Bypass payment: Attempt payment refund fraud or chargeback fraud

5.2 Harassment & Abuse

• Harass, threaten, stalk, or intimidate any user or Merchant
• Post hate speech, obscenity, or sexually explicit content
• Defame or impersonate another person
• Engage in cyberbullying or coordinated abuse

5.3 Platform Abuse

• Hack, disrupt, or interfere with Platform operation
• Use bots, scraping tools, or automated systems
• Create multiple accounts to circumvent policies
• Manipulate ratings, reviews, or search results
• Use the Platform for spam or unsolicited advertising

5.4 Intellectual Property Violations

• Infringe copyrights, patents, or trademarks
• Post pirated content or unauthorized reproductions
• Violate peppy's IP rights

5.5 Privacy & Security Violations

• Attempt to access other users' accounts
• Share another user's personal data
• Distribute malware or ransomware
• Collect personal data without consent
• Exceed your access: Misuse Merchant contact details shared via data sharing consent

6. SUSPENSION & TERMINATION

6.1 peppy's Right to Suspend/Terminate

peppy may immediately suspend or terminate your account if you:

• Violate any provision of these Terms
• Engage in prohibited conduct (see Section 5)
• Fail to maintain accurate account information
• Become insolvent or file for bankruptcy
• Are subject to government sanctions or legal action
• File frivolous claims against peppy or merchants

6.2 Effect of Termination

• Your account access is immediately revoked
• You must cease using the Platform
• Outstanding payments become immediately due
• You remain liable for past violations and damages
• peppy retains the right to pursue legal remedies

6.3 Survival

Sections on Indemnity (Section 8), Limitation of Liability (Section 7), Arbitration (Section 10), and IP Rights (Section 4) survive termination.

7. LIMITATION OF LIABILITY & DISCLAIMER

7.1 "As-Is" Service

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind:

peppy makes NO representations or warranties regarding:

• Accuracy, completeness, or timeliness of content
• Reliability or uninterrupted operation of the Platform
• Fitness for any particular purpose
• Absence of viruses, malware, or security vulnerabilities
• Merchant compliance with laws or standards
• Accuracy of location data

You use the Platform at your sole risk.

7.2 Merchant Liability Disclaimer

peppy is NOT liable for:

• Merchant non-performance, breach, or fraud
• Product defects, recalls, or safety issues
• Delivery delays or failures
• Poor service quality or negative experiences
• Warranty claims or product liability
• Merchant's misuse of your contact data (if shared)
• Any claims arising from Merchant conduct

Your sole remedy for Merchant issues is to:

• Contact the Merchant directly
• File a refund/dispute request
• Pursue claims directly against the Merchant (not peppy)

7.3 Exclusion of Consequential & Indirect Damages

To the fullest extent permitted by law, peppy shall NOT be liable for:

• Indirect, incidental, special, punitive, or consequential damages
• Loss of data, profits, revenue, or business opportunities
• Loss of goodwill or reputation
• Personal injury, property damage, or wrongful death
• Emotional distress or psychological harm

Even if peppy was advised of the possibility of such damages

8. INDEMNITY & LEGAL COSTS

8.1 Your Indemnification Obligation

You agree to defend, indemnify, and hold harmless peppy and its founders, directors, officers, employees, and agents from and against ANY AND ALL claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorney's fees, court costs, expert fees, and investigation costs) arising from or related to:

9. PRIVACY & DATA

9.1 Privacy Policy

Your use of the Platform is governed by the Privacy Policy. By using the Platform, you consent to the collection, use, and sharing of your data as described therein.

9.2 Aggregated & Anonymized Data

You acknowledge and agree that:

• peppy owns all rights to Aggregated Data and Anonymized Data (derived from your usage)
• peppy may use, license, sell, and retain such data indefinitely without your consent or compensation
• Such data may be used for AI training, research, analytics, and commercial purposes

10. DISPUTE RESOLUTION & ARBITRATION

10.1 Governing Law

Any dispute arising out of or relating to these Terms shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of SIAC for the time being in force. The seat and venue of arbitration shall be mutually agreed between the parties. The tribunal shall consist of a sole arbitrator appointed in accordance with SIAC Rules. The language of arbitration shall be English.

10.2 Class Action & Representative Action Waiver

You agree to resolve disputes on an INDIVIDUAL BASIS ONLY:

• You waive any right to participate in a class action lawsuit
• You waive any right to represent other users
• You waive any right to consolidate claims with other users
• Claims must be brought in your individual capacity

10.3 Injunctive Relief Exception

Notwithstanding arbitration, peppy may seek injunctive relief in a court of competent jurisdiction (without arbitration) for:

• Intellectual property infringement
• Unauthorized access or data misuse
• Breach of confidentiality
• Fraud or payment fraud
• Any other matter requiring urgent relief

11. MODIFICATIONS & AMENDMENTS

11.1 Right to Modify Terms

peppy may modify these Terms at any time. Continued use of the Platform after modification constitutes acceptance of the revised Terms.

12. SEVERABILITY & SURVIVAL

12.1 Severability

If any provision of these Terms is found invalid, void, or unenforceable, that provision shall be severed, and remaining provisions shall continue in full force.

12.2 Survival

The following sections survive termination:

• Section 4 (IP Rights)
• Section 8 (Indemnity)
• Section 7 (Liability Limitation)
• Section 10 (Dispute Resolution)
• Section 9 (Privacy & Data)
• Section 14 (Severability & Survival)

15. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, constitute the entire agreement between you and peppy regarding your use of the Platform. They supersede all prior negotiations, agreements, and understandings.
